Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 16, 2013, Glenn R. Zander resigned as a director of CVR Energy, Inc. His resignation was in connection with his appointment to the board of directors of CVR Refining GP, LLC, the general partner of CVR Refining, LP (NYSE: CVRR). CVR Energy, Inc. owns CVR Refining GP, LLC and a majority of the common units representing limited partner interests in CVR Refining, LP.
