Item 1.01. Entry into a Material Definitive Agreement.

On November 13, 2008, the Board of Directors of CVR Energy, Inc. (the “ Company ”) approved a form of indemnification agreement for its directors and executive officers. It is expected that the Company’s current directors and executive officers and future directors and executive officers will enter into an indemnification agreement with the Company in substantially similar form.
