COURT APPROVES GREEN'S SCHEME OF ARRANGEMENT

The Supreme Court of New South Wales today approved the scheme of arrangement between Green's Foods Limited (Green's) and its ordinary shareholders (Scheme) in relation to the proposed acquisition of all of the issued shares of Green's by Nestlé Purina Petcare (NPPA), a division of Nestlé Australia Ltd

The approval of the Scheme by the Supreme Court of New South Wales today follows a shareholder vote in favour of the Scheme on Thursday, 22 February 2007. No further action is required from shareholders.

In accordance with ASX Listing Rules, the Court orders will be lodged with ASIC tomorrow, 27 February 2007, which will be the effective date of the Scheme (Effective Date). In addition, Green's shares will cease trading on ASX by close of trading on the Effective Date.

The date and time for determining shareholders' entitlements to the Scheme consideration (described below) will be Tuesday, 6 March 2007 at 7:00pm (the Record Date).

Shareholders registered on the Record Date will be entitled to receive \$0.90 cash per Green's share. The consideration will be sent to shareholders on or about Monday, 12 March 2007 (Implementation Date). All shareholders will receive consideration by way of cheque, as direct credit facilities will not operate for this payment.
