Expiry and redemption of CVCG

Pursuant to ASX Listing Rule 3.17.1, a notice has been issued to holders of CVC Limited unsecured convertible notes (ASX: CVCG) ( CVCG Notes ) that the CVCG Notes will expire and will be redeemed on 22 June 2023 ( Notice ).

For those holders of CVCG Notes who wish to convert some or more of their CVCG Notes into ordinary shares, a personalised conversion form has been sent to them with the Notice.

This release has been authorised by the Company Secretary of CVC Limited.

Important notice: Your CVCG listed Convertible Notes will expire on 22 June 2023

1. Expiry of CVCG

You are registered as the holder of CVC Limited ( CVC ) unsecured convertible notes which trade on the Australian Securities Exchange ( ASX ) under the ticker code CVCG ( CVCG Notes ).

Your CVCG Notes expire at 5:00pm on 22 June 2023, however, the last day that you can trade your CVCG Notes is at close of trading on the ASX on 9 June 2023. All dates and times reflect AEST, or Sydney time.

The following is intended to assist you in making a decision that is appropriate for your circumstances.

CVCG Noteholders have three choices:

(a) Do nothing

If you do not sell your CVCG Notes by the relevant key dates, on 22 June 2023 all CVCG Notes will be mandatorily redeemed for $100.00 per CVCG, and you will receive $100.00 (plus all accrued and unpaid interest).

(b) Sell some or all of the your CVCG Notes on market

You may wish to sell some or all of your CVCG Notes on the ASX. The last traded price for the CVCG Notes on 25 May 2023 was $100.70.

You may sell your CVCG Notes on market anytime until the CVCG Notes cease trading at the close of trading on ASX on 9 June 2023.

There is no guarantee that you will be able to sell your CVCG Notes or that you will receive a particular price.

(c) Convert some or all of your CVCG Notes

If you wish to convert some or all of your CVCG Notes, please complete the enclosed personalised ‘Conversion Notice'. Please ensure the form is received before 5:00pm on 8 June 2023.

Should you wish to convert your CVCG Notes into ordinary shares, you will receive such number of ordinary shares determined by dividing the aggregate Face Value of the CVCG Notes you elect to convert by $3.40. Any fraction of a share will be disregarded.

Please be sure to check the current CVC share price relative to the CVCG Notes conversion price of $3.40 before you make the decision to exercise your CVCG Notes.

2. Key dates in respect of your CVCG Notes are as follows:

3. CVC share price

The highest and lowest market prices of the underlying securities (CVC ordinary shares) during the three months prior to 26 May 2023 are set out below:

Highest: $101.5 per share on 21 March 2023 Lowest: $99.12 per share on 31 March 2023.

The closing price for the CVC shares (ASX: CVC) on 25 May 2023 was $100.70.
