Issue of Shares and Compliance Notice

CVC Limited (ASX Code: CVC) is pleased to announce that it has issued 17,400,000 ordinary fully paid shares at \$2.00 per share with institutions, sophisticated investors and professional investors raising an additional \$34,800,000.

The funds will be applied towards the expansion of the portfolio of investments.

The Company has applied for the quotation of the additional shares and expects the grant of quotation to be given by 26 February 2007.

Attached is a compliance notice given under section 708A(5)(e) of the Corporations Act 2001.

Compliance notice given under section 708A(5)(e) of the Corporations Act 2001

Notice is given by CVC Limited (the Company) under section 708A(5)(e) of the Corporations Act 2001 (Act) that:

• 1 On 22 February 2007, the Company issued a total of 17,400,000 fully paid ordinary shares without disclosure to investors under Part 6D.2 of the Act.
• $\overline{2}$ As at the date of this notice, the Company has complied with:
• $2.1$ The provisions of Chapter 2M of the Act as they apply to the Company; $\sim$ $\frac{1}{3}$ and
• 2.2 section 674 (Continuous Disclosure - listed disclosing entity bound by a disclosure requirements in market listing rules) of the Act.
• $\mathbf{3}$ As at the date of this notice, there is no excluded information, as defined in section 708A(7) of the Act, which is required to be disclosed by the Company.

This notice is dated 22 February 2007 and has been given within 5 business days after the day on which the shares were issued by the Company.
