Annual General Meeting – Board Changes

CVC Limited (‘CVC’) (ASX: CVC) advises that a number of changes to the membership of its Board of Directors will take effect at the conclusion of the Company’s Annual General Meeting (AGM), to be held today.

The changes are consistent with the Company’s stated commitment to a formal process of Board renewal, foreshadowed in its announcement of 21 October 2013.

• Mr Jason Ters is to be appointed a Director of the Company. Mr Ters has more than 18 years’ experience in the finance industry, predominantly in investment management and has held a number of Directorships in public and private companies including a number of ASX listed public companies. During a 13 year career at Guinness Peat Group (Australia), Mr Ters was responsible for identifying suitable investments and developing and executing strategies to create or unlock value for investee companies.

• Mr Vanda Gould has advised that he will not seek re-election as a Director at this time. Consequently, Resolution 2. Re-election of a Director on the AGM Notice of Meeting has been withdrawn notwithstanding the resolution was supported by an overwhelming majority of proxies lodged for the Meeting.

• Mr John Leaver has also advised of his retirement as a Director.

Mr John Read, Chairman of CVC, welcomed Mr Ters to the Board and paid tribute to Mr Gould and Mr Leaver who, as Founding Directors of CVC, have at different times served the Company as Chairman and Managing Director for nearly three decades.

“We understand Vanda’s and John’s decisions to retire as Directors in line with the Company’s commitment to Board renewal, a process that they initiated.“ he said.

“CVC owes both Vanda and John a great debt of gratitude,” Mr Read said. “Without their wisdom, dedication and commitment, CVC could not have been instrumental in the growth and development of so many businesses, many of whom are now successful companies listed on the ASX.“

Mr Gould and Mr Leaver have re-affirmed their commitment to remain supportive shareholders of the Company.

“The Board is delighted that Jason has agreed to serve as a CVC Director. His appointment fulfils CVC’s undertaking to ensure that the Board continues to have the appropriate mix and depth of skills,” Mr Read said.
