Item 8.01 Other Events.

On May 22, 2018, following stockholder approval at the Company’s 2018 Annual Meeting of Stockholders on May 15, 2018 of an amendment to the Restated Certificate of Incorporation of Curis, Inc. (the “Company”) to effect a reverse stock split of the Company’s common stock, by a ratio of not less than 1-for-3 and not more than 1-for-30, and a proportionate reduction in the number of authorized shares of common stock, such ratio and the implementation and timing of such reverse stock split to be determined in the discretion of the Company’s Board of Directors (the “Board”), the Board approved a 1-for-5 reverse split of the Company’s common stock (the “Reverse Stock Split”). On May 22, 2018, the Company issued a press release with respect to the Reverse Stock Split. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
