Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 2, 2021, Cummins Inc. (the “Company”) issued a press release announcing that Marya M. Rose, the Company’s Vice President – Chief Administrative Officer since 2011, will retire from the Company, effective April 2021.

Sharon R. Barner, age 63, the Company’s Vice President – General Counsel and Corporate Secretary, will become the Company’s Vice President – Chief Administrative Officer and will retain the role of Corporate Secretary, effective April 2021.

The Company plans to announce the appointment of a new General Counsel in the near future.

On February 2, 2021, the Company issued a press release announcing the retirement of Ms. Rose and the appointment of Ms. Barner. A copy of the press release is furnished herewith as Exhibit 99 and incorporated herein by reference.
