Item 8.01 Other Events.

On September 2, 2016, the Company issued a press release announcing its intention to call for redemption all of its 3,100,000 issued and outstanding 7.75% Series A Cumulative Redeemable Preferred Shares (NYSE: CUBE.PRA) (the “Series A Preferred Shares”) on November 2, 2016 ( the “ Redemption Date"). The Company’s Series A Preferred Shares called for redemption will be redeemed at a redemption price of $25.00 per share, plus accumulated and unpaid dividends up to and including the Redemption Date of $ 0.17 3 74 per share ( or an aggregate payment of $25. 173 74 per share on the Redemption Date). From and after the Redemption Date, dividends will cease to accrue, and on and after the Redemption Date, the only remaining rights of holders of the Series A Preferred Shares will be to receive payment of the redemption price, plus accumulated and unpaid dividends up to and including the Redemption Date. A copy of the press release announcing the redemption of the Series A Preferred Shares is attached as Exhibit 99.1 hereto.
