EXTENSION OF LONG STOP DATE

IN RELATION TO

CONNECTED TRANSACTION

ACQUISITION OF HSIN CHONG ASTER BUILDING SERVICES LIMITED

Reference is made to the announcement of CTF Services Limited (formerly known as NWS Holdings Limited) (the "Company") dated 22 July 2024 (the "Announcement") in relation to, among other things, the acquisition of Hsin Chong Aster Building Services Limited. Unless otherwise defined, capitalised terms herein shall have the same meanings as those defined in the Announcement.

Pursuant to the Sale and Purchase Agreement, completion of the Acquisition is conditional upon the fulfillment or waiver of the Conditions Precedent on or before the Long Stop Date, being 31 December 2024, or such other date as the parties to the Sale and Purchase Agreement may agree in writing (which shall be a Business Day). As additional time is required for the fulfilment of the Conditions Precedent, the Parties entered into a side letter to the Sale and Purchase Agreement on 19 December 2024 to extend the Long Stop Date from 31 December 2024 to 31 March 2025. Save as aforesaid, all the terms and conditions of the Sale and Purchase Agreement shall remain unchanged and in full force and effect.

As Completion is subject to the satisfaction or waiver of the Conditions Precedent in accordance with the terms of the Sale and Purchase Agreement, the Acquisition may or may not proceed. Accordingly, shareholders and potential investors of the Company should exercise caution when dealing in the securities of the Company.
