Ctac signs letter of intent acquisition Yellow2B and Yellow & Red
ERP specialist Ctac has signed a letter of intent on the acquisition of Yellow2B and Yellow & Red. Ctac has the intention to acquire 52% of the shares in both businesses as per 1 January 2010. The acquisition price depends entirely on the future results of Yellow2B and Yellow & Red in the coming three years. Ctac will gradually increase its stake to 100% in this period.
Yellow2B (founded in 2001) delivers integration solutions that provide user-friendly access to SAP systems. Yellow & Red (founded in 2000), focuses on the realisation of internet applications, content management and e-business solutions.
The planned acquisition will reinforce Ctac's leading position in the ICT specialist market in the Netherlands and Belgium. More specifically, the acquisition strengthens Ctac's profile in the following fields:
- The acquisition of Yellow2B puts Ctac in a position to offer a new market proposition in the field of SAP usability and integration.
- Yellow & Red is a company with a proven track record in the field of internet applications, content management and e-business solutions. Ctac sees potential to use this acquisition to profile itself more effectively in this field, and to accelerate the expansion of its Microsoft products offering.
- Both businesses mainly serve large companies / multinationals and operate largely outside Ctac's own client network.
- As part of Ctac, Yellow2B and Yellow & Red will operate independently and under their own respective brand names. Ctac's SAP NetWeaver consultants will be added to Yellow2B.
Yellow2B and Yellow & Red have been profitable since their foundation and are expected to generate a combined turnover of around EUR 3.3 million in 2009. As per end-September 2009, the combined businesses had 27 staff members.
The intended acquisition is expected to make a positive contribution to earnings per share as early as 2010.
