Ctac finalizes acquisition of stakes in subsidiaries

Following the letter of intent announcement on 28 January 2008, SAP-specialist Ctac N.V. ("Ctac") today announces the completion of the acquisition of the Alpha Holding B.V. ("Alpha Holding") minority interests in Ctac's subsidiaries Re-Spect, Alphalogic and Ctac Belgium. Ctac also acquired the minority holdings from the other management members in Re-Spect and Alphalogic. With this transaction, Ctac strengthens its positions in these successful Ctac business units. As of today Ctac is the 100% owner of Re-Spect and Alphalogic (former stakes of 50.02% and 51% respectively). Ctac's interest in Ctac Belgium has increased to 91.25% from 50.01%. The remaining minority stake is being held by other management members.

Further agreements are being arranged between the parties with respect to the other small-scale activities of Alpha Holding. An update on this will be given on the first of May at the latest.

As earlier announced and as part of the transaction, a shareholders' meeting will be held regarding the proposed appointment of Mr. Harry van Groenendael as Member of the Executive Board and Chief Operating Officer. Currently, Mr. Van Groenendael is the General Manager and largest shareholder of Alpha Holding.

Ctac will finance the total transaction, including the abovementioned other small-scale activities, largely through the issue of in between 2.2 and 2.5 million Ctac shares. The transaction is expected to make a positive contribution to Ctac's earnings per share. The number of outstanding Ctac shares as per 31 December 2007 was 8,889,525. The parties have agreed a lock-up arrangement with respect to the shares to be issued.
