Ctac acquires Crossverge
SAP-specialist Ctac N.V. ("Ctac") has reached agreement on the acquisition of all outstanding shares in Crossverge B.V. ("Crossverge"). Crossverge develops the successful software product XV Retail, an ERP integrated total solution for retail companies
The acquisition price will be paid partly in cash and partly in newly issued Ctac shares, with the final amount largely dependent on the future results of Crossverge. The parties have agreed to a lock-up clause for the shares to be issued. Crossverge booked turnover of EUR 0,5 million in 2007 and will contribute immediately to Ctac's earnings per share. Ctac expects to complete the formal legal acquisition no later than end-July 2008.
XV Retail is a flexible integrated total solution for the support of Multi-Channel Retailing, whereby each and every Point of Sales (POS) can be online linked to an ERP system. A broad range of software modules support every possible business process: from cash register sales to customers to the publication of order books. In addition, the modules support options such as internet sales to wholesale customers and logistic processes. Via its retail sector-focused subsidiary Re-Spect B.V. ("Respect"), Ctac already has a distribution agreement for XV Retail. Several reputable retailers have already closed a software contract for XV Retail. In early May 2008, Re-Spect won an IBM Business Partner Award for XV Retail.
