Ctac signs letter of intent on acquisition of Belgian firm Core Consulting NV

SAP-specialist Ctac Belgium BVBA, a 100% subsidiary of Ctac NV, has signed a letter of intent on the acquisition of 100% of the shares in Core Consulting NV. The planned acquisition boosts Ctac's leading position in the SAP-specialists market in Belgium.

Core Consulting offers Ctac an additional increase in scale in a very technical area in which Core Consulting is known for its technical know-how. This will also enable Ctac to offer a broader portfolio of services. The addition of Core Consulting will also accelerate Ctac's organic growth in Belgium through the accelerated launch of a technical operational centre. Core's renowned clients in Belgium form an excellent supplement to Ctac's existing client base, while Core Consulting also has a solid presence in the Walloon part of Belgium, where Ctac has a less prominent position. If the planned transaction is completed, Core Consulting will be integrated in Ctac's existing SAP management activities in Belgium.

Core Consulting realised a profitable turnover of around EUR 4.7 million in 2007. Core Consulting currently employs 22 consultants (FTEs). The parties expect to realise the cooperation within a few months. The purchase price is partly dependent on the future results of Core Consulting and will be paid mostly in cash. The proposed acquisition will not affect Ctac's results in 2008. The planned acquisition is expected to contribute to the earnings per share as early as in 2009.
