Ctac signs letter of intent on the acquisition of 51% of the shares in IFS probity Groep
SAP-specialist Ctac has signed a letter of intent to acquire 51% of the shares in IFS probity Groep B.V. ("IFS probity"). This acquisition gives Ctac a good position in the utilities sector.
IFS probity provides business consultancy based on a business-process focused approach, often on and around SAP. IFS Probity has a strong focus on the utilities sector.
For Ctac, this acquisition fits in very well with its desired "Ctac Powerhouse" strategy, which is based on a business model with a number of more or less independently operating business units, with each one using their specific SAP expertise to focus on a carefully selected niche market. This is in response to the desire among clients for a complete, high-quality (SAP) supplier with a variety of specialisations.
In 2006, IFS probity realised a profitable turnover of around EUR 4.7 million. The acquisition is expected to contribute to the earnings per share immediately. IFS probity currently has 30 employees. The parties expect to be in a position to effectuate the cooperation before the end of June. IFS probity is expected to be consolidated from 1 July. Ctac will finance the acquisition of the 51% stake in IFS probity largely from freely available funds.
IFS probity will as the tenth business unit be added to the nine already existing business units in the Netherlands and will focus primarily on the utilities sector. The activities of IFS probity are very much complimentary to the activities already existing within Ctac, which means this acquisition will further strengthen the cross-selling opportunities between the various business units.
The IFS probity consultants have extensive business and process know-how, often but not exclusively within the utilities sector, and combine same with a broad and in-depth knowledge of SAP R/3, SAP IS-U and various non-SAP systems.
By joining forces, Ctac and IFS probity seek to realise greater and more rapid growth in, among others, the utilities sector. For IFS probity, the link with Ctac's Powerhouse concept means a strengthening of its organisation in order to realise its growth objectives. It also provides an excellent perspective for the further growth and development of its consultants.

Profile Ctac
Ctac is an ICT services provider specialising in SAP solutions. Activities include implementation, integration and management of SAP systems and related activities such as system upgrades and system optimisations. The company is a SAP Service Partner and the largest SAP reseller for medium-sized enterprises in the Netherlands. Ctac's clients include approximately 200 organisations in trade and industry, business services, retail, (semi) government organisations and universities.
Ctac employed 278 people as per 31 December 2006. The company is based in 's-Hertogenbosch (the Netherlands).

IFS probity provides services in the fields of optimisation, (post) implementation and integrated management of SAP and non-SAP applications, in particular SAP R/3 and SAP IS-U.
