NOTICE OF COMMENCEMENT OF TRADING OF 100,000,000 A SHARES

OF PAR VALUE OF RMB1.00 EACH IN THE PEOPLE’S REPUBLIC OF CHINA

Further to the announcement dated 27th December, 2000 (the “Second Announcement”) and the announcement dated 5th January, 2001 (the “Third Announcement”), Yanzhou Coal Mining Company Limited (the “Company”) wishes to announce that:

* The net proceeds raised from the increase in capital by way of the A Shares Issue amounted to approximately RMB960,607,000 (approximately HK$897,764,000).

* After the increase in capital by way of the A Shares Issue, the number of A Shares held by the directors, the supervisors and other senior management remain unchanged.

* As arranged by the SSE, the date of commencement of trading of the 100,000,000 A Shares has been fixed.

Unless the context otherwise requires, terms defined in the Second Announcement and the Third Announcement will have the same meanings when they are used in this announcement.

Further to the Second Announcement and the Third Announcement, directors of the Company are pleased to announce further details relating to, inter alia, the commencement of trading in the PRC of 100,000,000 A Shares:

Net proceeds received from the increase in capital by way of the A Shares Issue

  1. As previously announced, the issue price of A Shares issued under the increase in capital by way of the A Shares Issue had been determined at RMB10.00 (approximately HK$9.35) per A Share. Accordingly, the total proceeds raised from the A Shares Issue amounted to RMB1 billion (approximately HK$0.935 billion). After deducting the fees relating to the A Shares Issue of approximately RMB39,393,000 (approximately HK$36,816,000), the Company received net proceeds of approximately RMB960,607,000 (approximately HK$897,764,000). The proceeds raised have been credited to the account of the Company before 16th January 2001. Deloitte Touche Tohmatsu Shanghai CPA has issued a capital verification report in relation to the A Shares Issue.

Shareholdings in the Company of the directors, the supervisors and other senior management

  1. After the increase in capital by way of the A Shares Issue, the number of A Shares held by the directors, the supervisors and other senior management remain unchanged.

Arrangement in relation to the commencement of trading of the 100,000,000 A Shares

  1. As arranged by the SSE, of the 100,000,000 A Shares issued pursuant to the increase in capital by way of the A Shares Issue, the A Shares issued to the Eligible Shareholders and other public investors will commence trading on 20th February, 2001. The A Shares issued to securities investment funds will commence trading 1 month after the A Shares issued to the Eligible Shareholders and other public investors commence trading. The A Shares issued to other legal person investors will commence trading 3 months after the A Shares issued to the Eligible Shareholders and other public investors commence trading.

  1. Except where otherwise stated, translations of Renminbi into Hong Kong dollars for the purposes of this announcement have been made using an exchange rate of HK$1 to RMB1.07. No representation is made that Renminbi amounts could have been or could be converted into Hong Kong dollars at this rate or any other rate or at all.
