Application has been made to The Stock Exchange of Hong Kong Limited for listing of and permission to deal in US$500,000,000 Senior Guaranteed Perpetual Capital Securities of Yancoal International Resources Development Co., Limited at an initial distribution rate of 5.75 per cent. per annum from, and including, 13 April 2017 to, but excluding, 13 April 2020 (guaranteed by Yanzhou Coal Mining Company Limited) (the “ Securities ”), by way of debt issue to professional investors (as defined in Chapter 37 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and in the Securities and Futures Ordinance (Cap. 571) of Hong Kong) only, as described in the Offering Memorandum dated 6 April 2017 in respect of such Securities and such permission to deal in the Securities is expected to become effective on 18 April 2017.

As at the date of this announcement, the directors of Yanzhou Coal Mining Company Limited are Mr. Li Xiyong, Mr. Li Wei, Mr. Wu Xiangqian, Mr. Wu Yuxiang, Mr. Zhao Qingchun, Mr. Guo Dechun and Mr. Guo Jun, and the independent non-executive directors of Yanzhou Coal Mining Company Limited are Mr. Kong Xiangguo, Mr. Jia Shaohua, Mr. Wang Xiaojun and Mr. Qi Anbang.
