Application has been made to The Stock Exchange of Hong Kong Limited for listing of and permission to deal in US$300,000,000 7.2% Senior Guaranteed Perpetual Capital Securities of Yancoal International Trading Co., Limited (guaranteed by Yanzhou Coal Mining Company Limited) (the “ Securities ”), by way of debt issue to professional investors only, as described in the Offering Memorandum dated 15 May 2014 in respect of such Securities and such permission to deal in the Securities is expected to become effective on 23 May 2014.

As at the date of this announcement, the directors of Yanzhou Coal Mining Company Limited are Mr. Li Xiyong, Mr. Zhang Xinwen, Mr. Yin Mingde, Mr. Wu Yuxiang, Mr. Zhang Baocai, Mr. Wu Xiangqian and Mr. Jiang Qingquan, and the independent non-executive directors of Yanzhou Coal Mining Company Limited are Mr. Wang Lijie, Mr. Jia Shaohua, Mr. Wang Xiaojun and Mr. Xue Youzhi.
