Reference is made to the announcement of Yanzhou Coal Mining Company Limited (the " Company ") dated 7 November 2014 (the “ Announcement ”) in relation to, among others, the Rights Offer of the Convertible Hybrid Bonds by Yancoal Australia Limited. Unless otherwise indicated, capitalized terms used in this announcement shall have the same meanings as those defined in the Announcement.

At the request of the Company, trading in (i) the H shares of the Company(stock code: 1171); (ii) debt securities (stock codes: 4551 and 4552) issued by Yancoal International Resources Development Co., Limited (a wholly owned subsidiary of the Company) and guaranteed by the Company; and (iii) debt securities (stock code: 5753) issued by Yancoal International Trading Co., Limited (a wholly owned subsidiary of the Company) and guaranteed by the Company,on The Stock Exchange of Hong Kong Limited will be halted with effect from 9:00 a.m. on Monday, 24 November 2014 pending the release of an announcement in relation to the publication of the prospectus on the Convertible Hybrid Bonds by Yancoal Australia Limited, which contains inside information of the Company.
