UPDATE ON THE PROGRESS OF ACQUISITION OF FELIX RESOURCES LIMITED

On 3 December 2009, the National Development and Reform Commission of the PRC approved the acquisition of 100% of the issued share capital in Felix Resources Limited by the Company.

On 3 December 2009, the National Development and Reform Commission of the PRC issued the “Approval letter of the National Development and Reform Commission in regard to the acquisition of 100% of the issued share capital in Felix Resources Limited by Yanzhou Coal Mining Company Limited” (Fagaiwaizi No. [2009]3034), approving the acquisition of 100% of the issued share capital in Felix Resources Limited (the “ Transaction ”) by Yanzhou Coal Mining Company Limited (the “ Company ”).

The Transaction was approved by the State-Owned Assets Supervision and Administration Committee of Shandong Province on 23 October 2009 and the Company has disclosed the Transaction in its report for the third quarter of 2009 published on 28 October 2009.
