RESIGNATION OF GENERAL MANAGER

The board (the " Board ") of directors of Yanzhou Coal Mining Company Limited (the " Company ") announced that, on 20 February 2021, the Board received the resignation report from Mr. Liu Jian, director (the " Director ") and general manager of the Company. Due to work arrangements, Mr. Liu Jian ceased to act as general manager of the Company effective from 20 February 2021. After such resignation, Mr. Liu Jian continues to act as Director, member of the Strategy and Development Committee and chairman of the Sustainable Development Committee under the Board.

Mr. Xiao Yaomeng, deputy general manager of the Company, will temporarily fulfil the responsibilities of the general manager before the Board appoints a new general manager. The Company will appoint a new general manager in accordance with legal procedures as soon as possible.

Mr. Liu Jian confirms that he has no disagreement with the Board or other members of the senior management of the Company, and no matter relating to his resignation is required to be brought to the attention of the shareholders of the Company and the Hong Kong Stock Exchange Limited.

Mr. Liu Jian diligently and faithfully fulfilled his duties during his term, and made contribution to the compliant operation and high-quality development of the Company. The Board hereby expresses its sincere gratitude to Mr. Liu Jian for his contribution to the development of the Company.
