RESIGNATION OF GENERAL MANAGER

The board of directors (the “ Board ”) of Yanzhou Coal Mining Company Limited (the “ Company ”) announces that due to change of job, Mr. Yin Mingde, a director and the general manager of the Company, presented his notice of resignation to the Company on 7 December 2015 resigning from the position of the general manager of the Company. Mr. Li Xiyong, the Chairman of the Board, shall assume the responsibilities as the general manager before a new general manger is appointed by the Board. The Company will select and appoint a new general manger of the Company in accordance with the applicable legal procedures as soon as possible.

Mr. Yin Mingde will continue to serve as a director of the sixth session of the Board and a member of the Strategy and Development Committee after his resignation as the general manager of the Company.

Mr. Yin Mingde has confirmed that he has no disagreement with the Board and there is no matter relating to his resignation as the general manager of the Company that needs to be brought to the attention of the shareholders of the Company.

The Board would like to take this opportunity to express its sincere gratitude to Mr. Yin Mingde for his valuable contributions to the Company during his term of service as the general manger of the Company.
