RESIGNATION OF DIRECTOR

The board of directors (the “ Board ”) of Yanzhou Coal Mining Company Limited (the “ Company ”) announces that Mr. Chen Changchun (“ Mr. Chen ”) resigned from the position of director of the Company with effect from 9 March 2011 due to his personal reasons.

Mr. Chen has confirmed that he has no disagreement with the Board and there is no matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company.
