Announcement in respect of resolutions passed at the Extraordinary General Meeting held on 22nd April, 2002; Election of Chairman and Vice Chairman, Appointment of General Manager, Deputy General Manager, Financial Controller, Chief Engineer, Secretary of the Board of Directors; and Election of Chairman of the Supervisory Committee

The Board of Directors (the "Board") is pleased to announce that on 22nd April, 2002 the Company held an extraordinary general meeting at which all resolutions set out in the Notice of Extraordinary General Meeting ("EGM") dated 4th March, 2002 were passed.

At a Board meeting convened by the 11 newly appointed directors after the conclusion of the EGM on 22nd April, 2002, Mo Liqi was elected as Chairman of the Company, Yang Deyu as Vice-chairman of the Company and also appointed as General Manager of the Company, while Yu Xuezhi, Zhang Yingmin, Wang Xinkun were appointed as Deputy General Managers and Wu Yuxiang was appointed as Financial Controller, Ni Xinghua as Chief Engineer of the Company and Chen Guangshui as Secretary of the Board.

At a supervisory committee meeting convened by the 5 newly-appointed supervisors after the conclusion of EGM on 22nd April, 2002, Meng Xinchang was elected Chairman of the Supervisory Committee.

Resolutions passed at the Extraordinary General Meeting held on 22nd April, 2002

On 22nd April, 2002, the Company held an EGM at which all resolutions set out in the Notice of the EGM dated 4th March, 2002 were passed. The following matters were approved by the EGM: amendments to the Articles of Association of the Company; appointment of 11 nominees namely Mo Liqi, Yang Deyu, Geng Jiahuai, Wang Bangjun, Yu Xuezhi, Yang Jiachun, Wu Yuxiang, Dong Yunqing, Fan Weitong, Cui Jianmin and Wang Xiaojun as directors of the Company; appointment of four nominees namely, Meng Xianchang, Xiao Shunzhang, Zhang Shengdong, Liu Weixin together with the union representative, Xu Bentai as supervisors of the Company.

The retirement of 15 directors and 5 supervisors as published in "Wen Wei Bao" and "South China Morning Post" on 5th March, 2002 has taken effect from the conclusion of the EGM.

Election of Chairman and Vice-chairman, Appointment of General Manager, Deputy General Manager, Financial Controller, Chief Engineer and Secretary of the Board

The newly appointed directors have also convened a Board meeting after the conclusion of the EGM on 22nd April, 2002, at which: Mo Liqi was elected as Chairman of the Company; Yang Deyu as Vice-chairman of the Company and according to the nomination by Chairman Mo Liqi, Yang Deyu was appointed as General Manager of the Company; according to the nomination by General Manager Yang Deyu, Yu Xuezhi, Zhang Yingmin, Wang Xinkun were appointed as Deputy General Managers of the Company; Wu Yuxiang was appointed as Financial Controller of the Company and Ni Xinghua was appointed as Chief Engineer of the Company; and according to the nomination by Chairman Mo Liqi, Chen Guangshui was appointed as the Secretary of the Board.

Kongqing and Zhang Xingzu have retired from positions of Deputy General Managers of the Company. Xiao Lifang has retired from the position of Financial Controller and Fan Guoqing has retired from the position of Chief Engineer of the Company.

Election of Chairman of the Supervisory Committee

The newly appointed supervisors of the Company have also convened a meeting after the conclusion of the EGM on 22nd April, 2002, at which Meng Xianchang was elected as Chairman of the Supervisory Committee.

Biography

The biographies of the newly appointed directors and supervisors were published in "Wen Wei Bao" and "South China Morning Post" on 5th March, 2002. However, those of Zhang Yingmin, Wang Xinkun, Ni Xinghua and Chen Guangshui, are hereby elaborated as follows:-

Zhang Yingmin, aged 48, Senior Engineer, is the Head of the Pao Dian Coal Mine of the Company and Deputy Party Committee Secretary. Mr. Zhang joined the predecessor of the Company and Yankuang (Group) Corporation Ltd. (the "Predecessor") in 1971 and became the Head of Pao Dian Coal Mine of the Company and Deputy Party Committee Secretary in 2000. He graduated from Tianjin University.

Wang Xinkun, aged 49, Senior Economist, is the Manager of Coal Transport and Sales Department, and Deputy Secretary of Central Branch of the Party Committee. Mr. Wang joined the Predecessor in 1977 and became Manager of Coal Transport and Sales Department of the Company and Deputy Secretary of Central Branch of the Party Committee in 2000. He graduated from Tianjin University.

Ni Xinghua, aged 45, Senior Engineer. Mr. Ni joined the Predecessor in 1975 and became Deputy Chief Engineer of Yankuang (Group) Corporation Ltd. in 2000. He graduated from Tianjin University.

Chen Guangshui, aged 36, engineer, is Secretary of the Board of the Company and Chief Secretary of the Office of the Secretary of the Board. He joined the Predecessor in 1990 and became Secretary of the Board and Chief Secretary of the Office of the Secretary of the Board in 1997. He graduated from Fuxin Mining Institute.
