Result of Annual General Meeting
The Company announces that at its Annual General Meeting held earlier today, all resolutions (Resolutions 1 to 8) set out in the Notice of AGM dated 13 November 2024, which were ordinary resolutions, were duly passed.
The proxy votes received on each resolution are set out below:

Discretionary votes received were voted in favour of a resolution and are counted in the proportion of votes 'for'.
The Board of the Fund notes the votes of more than 20% against resolutions 2, 5, 6, and 7. The Board is committed to continuing an open dialogue with the Company's shareholders. Where it is able to, the Board will continue to seek to engage with those shareholders who are understood to have voted against the resolutions to understand their views or any specific concerns. The Board will update shareholders on this and actions taken within six months.
The Board notes that in the year to 30 June 2024, the Fund's net asset value rose by 86.3% and that according to Trustnet, over one year, the Fund's performance is placed second in its 23-company peer group, with it being placed first over three years and third over five years amongst its 22-company peer group. Over three years, the Fund has returned 95.8 per cent, as against a fall of 8 per cent in the Investment Trust UK Smaller Companies sector.
