INSIDE INFORMATION SUSPENSION OF POWER TO A SUBSIDIARY

This announcement is made by Loto Interactive Limited (the “ Company ”, together with its subsidiaries, the “ Group ”) pursuant to the requirements of Rule 17.10 of the Rules Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited (the “ GEM Listing Rules ”) and the Inside Information Provisions (as defined under the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong). Reference is made to the inside information announcement of the Company dated 20 June 2021 (the “ Announcement ”). Unless otherwise defined, capitalised terms used herein will have the same meanings as those used in the Announcement.

Further to the Notice received by the Subsidiary as disclosed in the Announcement, on 21 June 2021, Sichuan Lecai Yuntian Network Technology Co., Ltd.* (四川省樂彩雲天網 絡科技有限公司) (the “ Subsidiary B ”), received a telephone call today from Sichuan Datang International Ganzi Hydropower Development Co., Ltd.* (四川大唐國際甘孜水電 開發有限公司) (the “ Power Company B ”) informing the Subsidiary B that the Power Company B will suspend the supply of power to the Subsidiary B with effect from 6:00 p.m. on 21 June 2021.

The Subsidiary B, a wholly-owned subsidiary of the Company, is a company established in the People’s Republic of China, and principally engaged in provision of comprehensive services including premises, hardware support, power supply, ancillary supervision and management services to the clients. The Subsidiary B is currently operating one of the Company’s big data centres in Sichuan Province, the People’s Republic of China.

The Subsidiary B will suspend its operation accordingly. It is expected that the suspension of operation of the Subsidiary B caused by the power suspension would have an adverse effect on the revenue of the Group, and hence the operating performance of the Group. The board of directors of the Company (the “ Board ”) will actively formulate alternative strategy and explore other direction for business development. The Company will keep its shareholders and its potential investors informed of any significant development of the Group’s businesses as and when appropriate.
