SUPPLEMENTAL ANNOUNCEMENT

DISCLOSEABLE TRANSACTION FORMATION OF A JOINT VENTURE

Reference is made to the announcement of Loto Interactive Limited (the “ Company ”) dated 23 January 2020 (the “ Announcement ”) in respect of the discloseable transaction in relation to formation of a joint venture. Unless the context otherwise requires, capitalized terms used in this announcement shall have the same meaning as defined in the Announcement.

The JV Partner is jointly controlled by Mr. Jiang Yufei and Mr. Tsai Hsien-Chou, each an Independent Third Party.

Mr. Jiang Yufei is a serial entrepreneur and investor in the mainland China and has established various renowned consumer goods brands in China. He has been engaged in international mergers and acquisitions in the semiconductor industry since 2016. He has expertise in semiconductor industry knowledge, mature experience in corporate governance and capital operations, and extensive network in the Chinese semiconductor field.

Mr. Tsai Hsien-Chou has worked at the display business unit of Quanta Group, Realtek Semiconductor Venture Fund, and Actions Semiconductor Co. Ltd. He has ample knowledge and connections in the semiconductor industry and rich experience in the cross-strait semiconductor industrial chain and technology integration.
