James Cropper plc (the "Company")

Directors' Shareholdings

The Company has been notified on 23 May that Patrick Willink, a director of the Company, has resigned as a director of a trust company acting as trustee for certain Cropper family trusts. As a result, the non-beneficial interest of Patrick Willink has decreased by 1,388,124* ordinary shares of 25p each in the Company ("Shares"); his beneficial interest remains unchanged.

As a result of the above arrangements, Patrick Willink's interests in the Company's Shares are as follows:

The total interest of the Concert Party, as defined in the Company's circular to shareholders dated 30 June 2015, following these transactions, directly and indirectly remains unchanged at 3,582,252 Shares, which represents 37.5% of the Issued share capital of the Company.

* the Company notes that Mr Willink's non-beneficial shareholding prior to this transaction was 1,457,558 Shares, as announced on 18 September 2017.  His non-beneficial shareholding was inadvertently disclosed as 1,132,408 Shares on 1 August 2018 and in the Company's 2018 Annual Report.
