James Cropper Plc (the "Company")

Notification of Transactions of

Directors and Persons Discharging Managerial Responsibility ("PDMRs")

The Company was notified on 22 July 2019 that, on the same day, the Trustees of James Cropper Plc Share Incentive Plan ("JC SIP Plan") transferred 9,363 ordinary shares of 25p each ("Shares") in the Company to participants of the SIP Scheme. The Shares were awarded to the participants on 21 July 2014 at a price of 383.5p per Share with the beneficial rights to participants recognised immediately upon award.

The SIP Trust holds the Shares for a 5 year period from award and then transfers the Shares to the participants.

The above transfer includes the following PDMRs of the Company

The total interests in Shares of the Company's Directors and PDMRs remain unchanged, with the exception of David Nicholson as detailed below.

As a result of the above transactions, the JC SIP Plan is interested in 127,187 Shares, representing 1.3% of the issued share capital of the Company.

Further, as a result of the change in interest of the JC SIP Plan, the non-beneficial interest of David Nicholson (PDMR) was decreased by 9,363 Shares.
