Dear valued securityholder,

ARA Asset Management, through ARA Real Estate Investors XXI Pte Ltd, (ARA) has called a Cromwell securityholder meeting to again push for the election of its nominee, Dr. Gary Weiss, to the Cromwell Board. ARA convened the meeting at the offices of their lawyers Arnold Bloch Leibler in Melbourne at 10.30am AEDT on Monday 30 March 2020.

Cromwell believes the location and timing of the meeting, in addition to ARA’s attempt to only provide postal voting, is a deliberate attempt to make it difficult for Cromwell securityholders to vote. ARA’s continued agitation and insistence in holding the meeting, particularly given uncertainty caused by COVID-19, illustrates their ‘takeover by stealth’ agenda and their disregard for other Cromwell securityholders.

Cromwell has taken steps to ensure all securityholders can have their voices heard.

In addition to ARA’s choice of venue, Cromwell securityholders are welcome to also physically attend the securityholder meeting at Cromwell’s office in Brisbane and also in London. The details of the venues are enclosed with this letter. Please consider your personal health and safety and any COVID-19 restrictions that may apply at the time.

Cromwell understands that physical attendance may not be possible or practical. Cromwell therefore invites securityholders to participate in the meeting ‘virtually’ through an online platform provided by our registry, Link Market Services Limited. You will be able to participate in the meeting by hearing the Chair’s address, viewing the presentation slides and asking questions.

If you have not previously lodged a proxy, you will also be able to vote online. The meeting URL will be https://agmlive.link/CMW20 . A guide to the meeting will be posted on Cromwell’s website next week.
