CROMWELL WITHDRAWS ITS OFFER FOR ORCHARD

Cromwell Group (ASX:CMW) advises that it has notified the Board of Orchard Fund Management Limited that it has withdrawn its proposal for the purchase of the Orchard funds management business.

As highlighted in the previous announcement dated 9[th] of June 2010, the transaction was subject to a number of key conditions, which included the support of key lenders for Cromwell’s proposal to return each relevant Orchard fund to a more appropriate capital structure over time as underlying asset values improve.

Major financiers have not accepted proposals in regard to term, interest rate margins and loan to valuation ratio covenants that Cromwell believes could have enabled it to manage the funds in a manner that could best restore lost value to investors over the longer term.

Cromwell CEO Paul Weightman said “Cromwell will continue to look for opportunities in the direct property space to acquire businesses and assets that enhance the current business with a target of 80% of earnings from property rentals and 20% from funds management”.
