CLEANSING NOTICE

Venture Minerals Limited (ACN 119 678 385) (ASX: VMS) ( Company ) gives this notice pursuant to ASIC Corporations (Share and Interest Purchase Plans) Instrument 2019/547.

The Company will make offers to issue fully paid ordinary shares in the capital of the Company under a share purchase plan (announced to ASX on 10 December 2021) without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) ( Act ).

The Company hereby confirms that:

1. As at the date of this notice, the Company has complied with:

2. (a) the provisions of Chapter 2M of the Act as they apply to the Company; and

3. (b) section 674 of the Act.

4. As at the date of this notice, there is no information:

5. (a) that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and

6. (b) that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

   • (i) the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

   • (ii) the rights and liabilities attaching to the shares of the Company.
