NOTICE OF POSTAL BALLOT

Members are hereby informed that pursuant to Section 110 of the Companies Act, 2013, read with the Companies (Management and Administration) Rules, 2014, General Circular Nos. 14/2020 dated April 8, 2020, No. 17/2020 dated April 13, 2020, No. 22/2020 dated June 15, 2020, No. 33/2020 dated September 28, 2020, No. 39/2020 dated December 31, 2020, No. 02/2021 dated January 13, 2021 and No. 10/2021 dated June 23, 2021 issued by the Ministry of Corporate Affairs (“MCA Circulars”), and other applicable provisions, including any statutory modification or re-enactment thereof for the time being in force, CRISIL Limited (the "Company") seeks approval of Members for appointment of Mr. Amish Mehta as a Managing Director & Chief Executive Officer of the Company with effect from October 1, 2021 and the terms and conditions of his appointment, as detailed in the Postal Ballot Notice dated August 12, 2021.

The Company has on August 21, 2021 completed the dispatch of the Postal Ballot Notice to the Members whose names appear on the Register of Members/List of Beneficial Owners as received from the National Securities Depository Limited (NSDL) and Central Depository Services (India) Limited (CDSL) at their registered email ids. As a voluntary gesture without there being a requirement in this regard in terms of the aforesaid circulars, the Company has sent a print copy of the Notice to the registered postal address of Members who have not registered their email addresses so far. Members whose names appeared on the Register of Members/ List of Beneficial Owners as on Tuesday, August 17, 2021 i.e. the cut-off date, will be considered eligible for the purpose of voting. A person who is not a Member as on Tuesday, August 17, 2021 i.e. the cut-off date for reckoning voting rights, should treat this Notice for information purposes only. In accordance with the above mentioned Circulars, Postal Ballot forms and Business Reply Envelopes have not been sent to the Members. The communication of the assent or dissent of the Members would take place through the remote e-voting system only.

Members holding shares in dematerialised mode are requested to register/update their email addresses with the relevant Depository Participants. Members holding shares in physical mode are requested to update their email addresses with the Company’s Registrar and Share Transfer Agent (RTA), KFin Technologies Private Limited at einward.ris@kfintech.com with a copy to investors@crisil.com sending a scanned copy of the signed request letter mentioning their Folio No., name, scanned copy of the share certificate (front and back), PAN (self-attested scanned copy of PAN card), AADHAR (self-attested scanned copy of Aadhar card) for registering email address.

In compliance with provisions of Section 110 of the Act read with Companies (Management and Administration) Rules, 2014 and Regulation 44 of the Securities and Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulations, 2015, the Company is offering remote e-voting facility to the Members of the Company. The Company has entered into an arrangement with National Securities Depository Limited (“NSDL”) for facilitating remote e-voting services. The login credentials for casting the votes through remote e-voting have been sent to the shareholders along with the Notice of Postal Ballot. The detailed procedure for casting of votes through remote e-voting has been provided in the Notice. The details will also be made available on the website of the Company.

The remote e-voting period shall commence on Tuesday, August 24, 2021 at 9.00 a.m. and end on Thursday, September 23, 2021 at 5:00 p.m. Members may cast their vote electronically during the aforesaid period. The remote e-voting module shall be disabled at 5.00 p.m. on September 23, 2021 and remote e-voting shall not be allowed beyond the same.

The Board of Directors has appointed Mr. Makarand Joshi, Practising Company Secretary, as the Scrutiniser for conducting the Postal Ballot process in a fair and transparent manner. The results of the Postal Ballot will be announced on Friday, September 24, 2021. The result would be intimated to the Stock Exchanges where the Company’s shares are listed, published in the newspapers and displayed along with the Scrutiniser’s report on the Company’s website viz. www.crisil.com.
