Pursuant to Regulation 30 read with Schedule III - Part A- sub-clauses (7) and (7B) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that, Ms. Arundhati Bhattacharya, an Independent Director of the Company, has submitted her resignation as a director of the Company, which will take effect on April 15, 2020.

In her resignation, she has indicated that the reason for her resignation is her decision to accept a full time role as Chairperson and CEO in another company. She has also confirmed that there is no other material reason, other than the reason stated in her resignation.

Dear Sirs,

I wish to advise that I have decided to accept a full time executive role as Chairperson & CEO for the India operations of Salesforce, USA. Accordingly I need to discontinue my existing non-executive assignments.

I sincerely regret that I will have to step down as non-executive Independent Director from the Board as well as from the committees of CRISIL Board, from April 16, 2020.

I further state that there are no other material reasons for my resignation, other than the reasons indicated above.

I take this opportunity to sincerely thank all the Directors as well as all members of the CRISIL Board for giving me the opportunity to work with you all for last 18 months. I am immensely benefitted from our interactions during the board and committee meetings. I will always cherish memories thereof.
