Sub.: Scheme of Amalgamation ( ‘ Scheme ’ ) of Bridge to India Energy Private Limited ( “ Transferor Company /First Petitioner Company ” ) with Crisil Limited ( ‘ the Transferee Company ’ or ‘ Crisil ’ ) and their respective Shareholders ( ‘ Scheme ’ )

Kindly be informed that the Hon ’ ble National Company Law Tribunal ( ‘ NCLT ’ ), Mumbai Bench, has today, approved the Scheme of Amalgamation of Bridge to India Energy Private Limited (wholly owned subsidiary company) with the Company. Certified copy of the Order of the NCLT is still awaited.

The Scheme was earlier approved by the Company ’ s Board on October 16, 2024. While the Appointed date for the Scheme was January 1, 2025, the Scheme will come into effect upon filing of the certified copy of the NCLT order with the Registrar of Companies.

As per the Scheme no shares are proposed to be issued pursuant to the merger, since it is a wholly owned subsidiary of the Company.
