Sub.: Scheme of Amalgamation (‘Scheme’) of two wholly owned subsidiary companies viz., CRISIL Risk and Infrastructure Solutions Limited (‘CRISIL Risk’) and Pragmatix Services Private Limited (‘Pragmatix’) with CRISIL Limited (‘the Company’)

Kindly be informed that the Hon’ble National Company Law Tribunal (‘NCLT’), Mumbai Bench, has today, approved the Scheme of Amalgamation of two wholly owned subsidiary companies viz., CRISIL Risk and Pragmatix with the Company. Certified copy of the Order of the NCLT is still awaited.

The Scheme was earlier approved by the Company’s Board on December 13, 2021. While the Appointed date for the Scheme was April 1, 2022, the Scheme will come into effect upon filing of the certified copy of the NCLT order with the Registrar of Companies.

As per the Scheme no shares are proposed to be issued pursuant to the merger since both CRISIL Risk and Pragmatix are wholly owned subsidiaries of the Company.
