Sub.: Resignation of Mr. M. Damodaran as a director of the Company

Pursuant to Regulation 30 read with Schedule III - Part A- sub-clauses (7) and (7B) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that, Mr. M. Damodaran (DIN: 02106990), an Independent Director of the Company, has submitted his resignation as a director of the Company with immediate effect i.e. October 1, 2021. Accordingly, his last day of CRISIL Directorship will be October 1, 2021.

In his resignation communication, Mr Damodaran has indicated that his company, Excellence Enablers Private Limited, a company active in the area of Corporate Governance, is set to expand its offerings and in this process, his position as an Independent Director on the Board of CRISIL Limited could place him in a situation of potential conflict. He has also confirmed that there is no other reason, other than the reason stated above, for his resignation.

A copy of the resignation is enclosed.
