Director/PDMR Shareholding

In accordance with the requirements of D.T.R 3.1.2, Crest Nicholson Holdings plc (the "Company") was notified on 1 March 2016 of the following transaction:

2015 DBP Award

Tim Beale, a PDMR of the Company, was granted an option under the DBP on 27 February 2015 in respect of the deferred element of the 2015 annual bonus payment for the financial year ending 31 October 2014. This option first became exercisable on 27 February 2016 (the "Option").

On 29 February 2016 in accordance with the rules of the Plan, 548 additional shares were added to the Option to reflect the value of distributions made to shareholders during the period since the grant of the Option. The additional shares added to the Option were calculated based on the prevailing ex-dividend share price associated with the respective dividend together with the value of that dividend, in proportion to the Option.

On 29 February 2016, Tim Beale exercised and sold the shares awarded under the Option together with the additional shares added to that Option in respect of distributions to shareholders (as set out above). The Company allotted shares from the Company's block listing facility to satisfy the exercise of the Option. Details of the exercise and sale are set out below:
