Disposal of Shares to Charity

In accordance with the requirements of DTR 3.1.4R(1)(a), Crest Nicholson Holdings plc (the "Company") was notified on 2 April 2014 that Chris Tinker (a person discharging managerial responsibility("PDMR")) transferred the beneficial interest in 175,000 Ordinary Share of 5 pence each in the Company to certain charities on 31 March 2014.
