Grant of Options under the Crest Nicholson Holdings plc Long-Term Incentive Plan

In accordance with the requirements of D.T.R 3.1.2, Crest Nicholson Holdings plc (the "Company") was notified on 8 March 2013 that the following PDMRs have been granted options (exercisable at nil-cost) over 1,276,272  Ordinary Shares of 5 pence each in the Company (the "Options"), under the Crest Nicholson Holdings plc Long-Term Incentive Plan (the "LTIP") as shown in the following table:

No payment was required for the grant of the options.

Subject to the performance conditions attached to the awards being met (relating to profit before tax per share and return on capital employed), the Options are exercisable between 2016 and 2023.

Further details of the LTIP can be found in the Company's IPO Prospectus dated 13 February 2013.

The number of shares subject to the Options has been calculated based on the closing share price on 7 March 2013 in accordance with the rules of the plan.

Following the grant of the Options, the Company confirms that at the date of this announcement, each of the PDMRs holds the following total number of options over Ordinary Shares of 5 pence each in the Company as follows:
