6 To re-elect Ms Mary Carney retiring by rotation under the provisions of
Article 103 of the Articles of Association,as a director of the Company.
7 To appoint Moore Stephens LLP as auditor and to authorise the directors
to determine their remuneration.
8 To give authority to the directors to issue shares pursuant to section 551
of the Companies Act 2006.
Special Resolutions
9 To grant a limited disapplication of the statutory pre-emption rights
contained in section 570 of the Companies Act 2006.
10 To give a limited power to the Company to purchase its own shares.
