Sub: Appointment of Mr. George Joseph as the Chairman of Board of Directors of the Company.
Further to our intimation on ‘outcome of Board Meeting’ dated August 11, 2021, it is hereby clarified that consequent to Mr. Paolo Brichetti, retiring by rotation and not seeking reappointment as a Director at the 30[th] AGM of the Company held on July 30, 2021, Mr. George Joseph, who was the Vice-Chairman & Lead Independent Director of the Company was appointed as the Chairman & Lead Independent Director of the Company by the Board at its meeting held on August 11, 2021. Mr. George Joseph is already an existing Independent Director of the Company appointed for a second term with effect from September 9, 2020.
It is further confirmed that the said appointment of Mr. George Joseph is in compliance with SEBI Letter dated June 14, 2018 read along with NSE & BSE Circulars dated June 20, 2018, respectively, and that he is not debarred from holding the office of Director by virtue of any SEBI Order or any other such authority.
