Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 14, 2021, Charles A. Pearce, Chief Legal Officer and Corporate Secretary of Credit Acceptance Corporation (referred to as the “Company,” “Credit Acceptance,” “we,” “our” or “us”) informed us that he has decided to retire from the Company effective December 31, 2021.

Mr. Pearce has submitted his resignation as the Company’s Chief Legal Officer and Corporate Secretary effective June 30, 2021, at which time, he will assume the position of Special Assistant to the Chief Executive Officer to assist with transition pending the effectiveness of his retirement from the Company.

The Company has appointed Erin J. Kerber, currently serving as Senior Vice President, Assistant General Counsel – Regulatory Compliance, to succeed Mr. Pearce as the Company's Chief Legal Officer and Corporate Secretary effective July 1, 2021. Ms. Kerber joined the Company in 2010 as a Litigation Manager and was promoted to Director of Regulatory Compliance in 2012. She was named Vice President – Regulatory Compliance in 2014 and assumed her present position in 2018. From 2003 until joining the Company, Ms. Kerber was an attorney with the law firm Dickinson Wright PLLC.
