Dear Sir.
Sub: Results of Postal Ballot and e-voting for increasing borrowing powers of the board and authorization limit to secure the borrowings under Section 180(1)(c) and 180(1)(a) of the Companies, Act, 2013.
I, Satyajit Mishra, Practicing Company Secretary, had been appointed as the Scrutinizer of Creative Peripheral and Distribution Limited ("the Company") pursuant to Section 108 and 110 of the Companies Act, 2013 ("the Act") read with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014, as amended, to conduct the e-voting and Postal Ballot process in respect of the below mentioned resolution passed by e-voting and Postal Ballot on 4th January, 2020.
I was also appointed as Scrutinizer to scrutinize the voting process by e-voting and Postal Ballot dated January 04, 2020.
The Notice dated November 28, 2019 was sent to the shareholders in respect of the below mentioned resolution passed by Postal Ballot including e-voting.
The Company had availed the e-voting facility offered by Central Depository Services (India) Limited ("CDSL") for conducting e-voting by the Shareholders of the Company.
The shareholders of the Companyholding shares as on the "cut-off" date ofFriday, November 29, 2019 were entitled to vote on the resolution as contained in the Notice of Postal Ballot.
The voting period for e-voting and Postal Ballot commenced on Friday, December 06, 2019at 09.00 a.m. (IST) and ended on Saturday, January 04, 2020 at 5:00 p.m. (IST) and the CDSL e-voting platform was blocked thereafter.
After the closure of the voting, the report on voting done by Postal Ballot and e-voting was generated in my presence and the voting was diligently scrutinized.
The votes cast under e-voting facility were thereafter unblocked by me in the presence of two witnesses Mr. Sameer Dhanak and Ms. Tejasvi Vadhaiya who were not in the employment of the Company and after the conclusion of the votingthe votes cast there under were counted.
