(1)The reporting person received 95,245 shares of Series A Preferred Stock from the Issuer as payment for the obligation of CIM Urban Partners, L.P. ("CIM Urban"), a whollyowned indirect subsidiary of the Issuer, to pay the reporting person a management fee in respect of the second fiscal quarter of 2020 pursuant to the investment management agreement between the reporting person and CIM Urban.
