Sottoscritta la tranche residua dell'aumento di capitale in opzione deliberato dal Consiglio di Amministrazione del 13 ottobre 2025

Verona, 21 gennaio 2026. Creactives Group S.p.A. ("Creactives" o "Società") (ISIN IT0005408593 - ticker: CREG), società internazionale e PMI Innovativa fiscalmente ammissibile, quotata su Euronext Growth Milan – Segmento Professionale ("Euronext Growth Milan Pro" o "EGM Pro"), che sviluppa tecnologie di intelligenza artificiale nel campo della Supply Chain, facendo seguito al comunicato diffuso in data 12 novembre 2025, comunica che sono state sottoscritte le residue n. 435.301 Nuove Azioni rivenienti dall'Aumento di Capitale.

L'aumento di capitale in opzione si è concluso con pieno successo per complessivamente 1.642.750 azioni ordinarie, ad un prezzo di 1,50 euro per azione, per un controvalore complessivo di Euro 2.464.125,00 (comprensivo di sovraprezzo).

Le Nuove Azioni avranno le medesime caratteristiche di quelle già in circolazione alla data di emissione e godimento regolare e saranno ammesse alla negoziazione su Euronext Growth Milan Pro, al pari delle azioni già in circolazione e nel rispetto delle applicabili disposizioni di legge e regolamentari.

Alla luce della suddetta operazione, il capitale sociale della Società è incrementato ad Euro 324.400,50, suddiviso in n. 14.784.750 azioni ordinarie prive dell'indicazione del valore nominale, con un flottante che salirà al 25,45%.

The remaining tranche of the capital increase with option rights approved by the Board of Directors on October 13, 2025, has been subscribed

Verona, January 21, 2026. Creactives Group S.p.A. ("Creactives" or the "Company") (ISIN IT0005408593 - ticker: CREG), an international company and fiscally eligible Innovative SME, listed on Euronext Growth Milan – Professional Segment ("Euronext Growth Milan Pro" or "EGM Pro"), that develops Artificial Intelligence technologies to address real-life business problems in the Supply Chain, following the press release issued on November 12, 2025, announces that the remaining no. 435.301 New Shares resulting from the Capital Increase have been subscribed.

The capital increase with option rights was successfully concluded for a total of 1.642.750 ordinary shares, at a price of Euro 1,50 per share, for a total value of Euro 2.464.125,00 (including share premium).

The New Shares will have the same characteristics as those already in circulation on the date of issue and regular dividend entitlement and will be admitted to trading on Euronext Growth Milan Pro, in the same way as the shares already in circulation and in compliance with the applicable legal and regulatory provisions.

As a result of this transaction, the Company's share capital has increased to Euro 324.400,50, divided into no. 14.784.750 ordinary shares with no par value, with a free float that will rise to 25,45%.
