Extensionof timeforholding Annual General Meeting(AGM) forthefinancialyearendedon 31.03.2020

1. WHEREAS. Sub-section(l) of Section 96 of the Companies Act ,2013 (the Act) provides,inter-alia,thateverycompany,otherthana One PersonCompany, shall in each year hold in addition to any other meetings, a general meeting as its Annual General Meeting(AGM) andshallspecifythemeetingassuchin thenoticescallingit, and not morethanfifteenmonthsshallelapsebetweenthedateof oneAGM of a companyand thatof thenext;

2. And \‘VHEREAS, the first proviso to Sub-section (1) of section 96 of the Act providesthatin caseof thefirstAGM, it shallbeheld withina period of nine months fromthedateof closingof thefirstfinancialyearof thecompanyand in any othercase, withinaperiodofsixmonths,fromthedateofclosingofthefinancialyear;

1. And l-VHEREAS, thethirdprovisotoSub-section(l) of section96 of theAct

providesthattheRegistrarmay,foran y specialreason,extendthetimewithinwhichany annualgeneralmeeting,otherthanthefirstannualgene ralmeeting,shallbeheld,by a periodnotexceedingthreemonths;

1. And WHEREAS, variousrepresentationshavebeenreceivedfromthecompanies, Industrybodiesand ProfessionalInstitutes pointingout thatseveralcompaniesare findingitdifficultoholdtheirAGM forthefinancialyearendedon 31.03.2020 dueto thedifficultiesfacedinviewoftheCovid_l9pandemic;

AndWHEREAS,therepresentations havebeenconsideredandtheundersigned isoftheconsidered opinionthatduetosuchunprecedentedspecialreasons,thetime withinwhichtheAGMforthefinancialyearendedon 31.03.2020 isrequiredto-beaheldasperprovisionsofsub-section (1)ofsection96oughtobeextendedintermSOfflte _ 4,, proviso tosection96(1);

Now,therefore,in termsof powervestedwiththeundersignedunderthethird provisotoSubsection (1) of Section96 of theAct, I herebyextendthetimeto hold the AGM. otherthanthefirstAGM. forthefinancialyearendedon 31.03.2020, forcompanies withinthejurisdictionofthisoffice,whichareunabletoholdtheirAGM forsuchperiod withintheduedateofholdingtheACM, foraperiodofthreemonthsfromtheduedate sectionbywhichtheAGM oughttohavebeenheldin accordancewiththeprovisionsofSub- ( l) toSection96of theAct,withoutrequiringthecompaniestofileapplications forseekingsuchextensionbyfilingtheprescribedFormNo.GNL-l.

Explanation:ltisherebyclarifiedthattheextensiongrantedunderthisOrdershallalso beapplicabletoallthependingapplicationsfiledinFormNo.GNL-l fortheextension ofAGM forthefinancialyearendedon 31.03.2020, whichareyettobeapproved;

TheapprovalforextensionofAGM upto 3 monthsfromtheduedateofAGM shall bedeemedtohavebeengrantedby theundersignedwithoutanyfurtheractionon partof thecompany.
