Item 5.02(c) Appointment of Executive Vice President – Chief Operating Officer

On May 23, 2011, Max H. Mitchell was appointed to the newly created position of Executive Vice President – Chief Operating Officer. Mr. Mitchell, 47, has served as President of the Company’s Fluid Handling Group since April 2005. He joined Crane in 2004 as Vice President, Operational Excellence. Prior to joining Crane, Mr. Mitchell had extensive operations and management experience in leadership roles at Pentair Inc., Danaher Corporation and Ford Motor Company. In connection with his appointment Mr. Mitchell received a grant of 25,000 stock options with an exercise price of $46.52, and an increase in his base annual salary to $459,575.
