VOLUNTARY ANNOUNCEMENT

COMPLETION OF DISCLOSEABLE AND CONNECTED TRANSACTION ACQUISITION OF ENTIRE ISSUED SHARE CAPITAL OF TRIUMPH SUCCESS DEVELOPMENTS LIMITED

References are made to the announcement of CR Construction Group Holdings Limited (the ‘‘Company’’) dated 30 November 2020 and the circular of the Company dated 31 December 2020 (the ‘‘Circular’’) in relation to the Share Purchase Agreement. Unless the context otherwise requires, capitalised terms in this announcement shall have the same meanings as defined in the Circular.

The Board is pleased to announce that all the conditions precedent under the Share Purchase Agreement have been fulfilled and Completion took place on 28 January 2021. Upon Completion, the Target Group became a wholly-owned subsidiary of the Company, and the Seller ceased to have any direct interest in the Target Company.
