Die SP Holding AG hält alle Anteile an den operativen Gesellschaften ISMC AG mit Sitz in Kreuzlingen (CH) und der ISMC GmbH in Waldbronn (D). Die ISMC- Gruppe erstellt Software für Finanzdienstleister und erbringt Dienstleistungen für diese mit Schwerpunkten im Projektmanagement, Beratung, Planung und Realisierung sowie der Wartung und Pflege von Anwendungssystemen bei Finanzdienstleistern. Der konsolidierte Umsatz für das laufende Geschäftsjahr beträgt ca. 9,5 Mio. DM, als Gewinn vor Steuern werden 2,5 Mio. DM erwartet. Der Kaufpreis für die SP- Holding AG wird durch die Ausgabe von 374.819 neuen Stückaktien aus dem genehmigten Kapital finanziert. Für die CPU Softwarehouse AG ist mit dieser Akquisition der Markteintritt in die Schweiz gelungen. Zum Kundenkreis der ISMC zählen Banken in Deutschland, mit denen die CPU AG ihre geschäftlichen Kontakte pflegen und erweitern wird. Die Beziehungen zu den Bankkunden in der Schweiz (UBS, Schweizerische Bankgesellschaft) werden im Rahmen des Key Account Managements der CPU Softwarehouse AG weiter ausgebaut. Darüber hinaus beabsichtigt die CPU Softwarehouse AG die Ressourcen der ISMC bei der Abwicklung von Auftragsentwicklungen zu nutzen, damit Entwicklerpotential in Augsburg zur schnelleren Weiterentwicklung der Standardsoftware CPU-C5 genutzt werden kann. SP Holding AG holds all the shares in the operating companies ISMC AG, based in Kreuzlingen (CH) and ISMC GmbH in Waldbronn (D). The ISMC Group develops software for financial service companies and provides services for the same, focussing on project management, consulting, planning and realisation and also the care and maintenance of application systems at financial service companies. The consolidated turnover for the current business year is approx. 9,5 million DM; profits before tax are expected to be 2,5 million DM. The purchase price for SP- Holding AG will be financed by the issue of 374.819 new unit shares, from approved capital.
